3. ENTITY STRUCTURE & BRAND RELATIONSHIP
Earthnic is a brand wholly owned, funded, operated, and governed under the structural and fiduciary oversight of Rubliss Vendors Private Limited, which retains all controlling interests, directorial powers, legal liability, financial decision-making authority, and third-party engagement capacity.
The Earthnic brand, although publicly facing as a youth-driven lifestyle and skincare label, functions legally and operationally as a subset of Rubliss Vendors Pvt. Ltd. All transactions, customer interactions, influencer collaborations, and backend integrations fall under the legal domain of the parent company, with all associated risk, liability, and enforceability flowing accordingly.

4. ORDER, PAYMENT & DELIVERY CLAUSE
All product listings, promotional offers, prices, countdowns, and marketing messages shall be construed as mere invitations to offer and not as binding contracts or commitments. Users may place orders on the platform; however:
• Payment Acceptance for any product or membership shall only commence following the official pre-launch event, the timing of which shall be solely defined and announced by Earthnic. Any premature transaction attempt shall be declined, reversed, or held in escrow at our discretion.
• Delivery of products shall begin only after the formal Launch Event. No User shall have any enforceable right, equity, or expectation to receive goods, samples, or complimentary items prior to said launch, regardless of order date or payment status.
We may, at our discretion, stagger delivery by region, influencer tier, or internal logistics prioritization, and this shall not be construed as discriminatory or unfair.

5. DISBURSEMENTS TO COUNTERPARTIES
Notwithstanding any law, equity principle, promissory estoppel, expectation of reliance, standard commercial practice, business etiquette, legal notice, informal arrangement, influencer briefing, agency memo, vendor onboarding document, invoice, digital contract, memorandum of understanding, letter of interest, proposal, or public representation to the contrary, it is hereby stated, clarified, and contractually reinforced that:
Earthnic Pvt. Ltd., acting through Rubliss Vendors Private Limited, shall retain and reserve the unrestricted, unilateral, non-negotiable, and non-reviewable right to defer, delay, postpone, partially execute, or indefinitely stagger any Disbursement—defined here as any fee, commission, honorarium, royalty, cash-back, incentive, service payment, partnership consideration, marketing budget, promotional payout, product sponsorship, dividend, investment return, reimbursement, or any financial obligation whatsoever.
This right may be exercised:
• With or without cause;
• With or without prior notice;
• For reasons including but not limited to internal liquidity review, ongoing solvency management, performance audit trails, engagement metrics, restructuring intent, operational pivots, fundraising rounds, or executive decision pending.
No influencer, agency, vendor, stakeholder, or Counterparty shall possess any enforceable right, claim, or entitlement—whether arising in contract law, tort, equity, public policy, digital arbitration, media threats, online backlash, or legal intimidation—to demand said Disbursement unless and until Earthnic issues an express, dated, and authorized confirmation of readiness to pay.
Counterparties irrevocably waive:
• Any claims for interest, late fees, penalties, loss of reputation, consequential damages, defamation, performance blockage, platform sabotage, blacklisting threats, or injunctive remedies;
• Any interpretation of such postponement as breach, frustration, repudiation, material default, or commercial wrong.
This clause shall override any oral promises, platform DMs, social exchanges, or screen-recorded commitments. For clarity: Delay ≠ Default, and Silence ≠ Consent to Pay.

6. WEBSITE RESTRICTIONS
You agree not to:
• Reverse-engineer, copy, or imitate website architecture;
• Insert malicious code, bots, spyware, ransomware, or cookie exploits;
• Attempt to mine user data, transaction logs, or algorithmic output;
• Upload illegal, offensive, or politically sensitive content;
• Use third-party automation to scrape, click, or distort analytics.
Violators may be prosecuted under the IT Act, 2000 and/or applicable cyber-crime laws.

• Your breach of contract, NDA, or social posting obligations;
• Any third-party claims resulting from your content, conduct, or communication.

• Loss of income, opportunity, contracts, goodwill, digital followers, or audience engagement;
• Software crash, server timeout, or delayed response;
• Inconvenience caused by launch delays, influencer payment lags, or fulfillment slowdowns;
• Damage to emotional wellbeing caused by online trolling, brand mentions, or rejection of partnership requests.
Total liability, if any, shall be capped at the lesser of ₹500 or the last successful payment made to the brand by the User.

9. TERMINATION
We may suspend or permanently revoke your access to our platform, products, or membership without prior notice for:
• Breach of these terms;
• Misrepresentation, fraud, or bad-faith collaboration;
• Manipulation of analytics or pressuring our teams via public threats;
• General non-vibe alignment with the Earthnic ecosystem.

10. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Noida, Uttar Pradesh, to the exclusion of all other forums, regardless of convenience or residence.
